Corporate and Business. 

Business counseling has been an ongoing area of practice for the firm since its inception as business operations by themselves interactively link with the law in many areas.

Formation of Business Entities. 

We have helped many businesses form limited liability entities inclusive of Incorporation (including S Corporations), Limited Liability Companies and all forms of Partnerships.

We draft and negotiate all relevant documents including non-compete agreements, Buy/Sell Agreements, and operating agreements.

Acquisition and Sales of Business. 

Our experience includes sale of the entire business entity or assets only, and many times in the context of the succession of family owned business. We prepare all documents including Sales Agreement, Security Documents including Promissory Notes, Deeds of Trust and UCC Financing and Security Agreements.

We have represented business owners in many different financing transactions from conventional bank loans to small business administration loans.

Employment Issues. 

One of the increasingly important areas to businesses is the proper negotiation and drafting of Employment Agreements. We also represents clients in the preparation of Employee Handbooks and assisting with disciplinary and employment separation issues.

In serving our business clients we regularly consult and collaborate with their accountants and/or financial advisors.

Estate Planning and Administration.

It has been said that everyone has an estate plan.  As for those persons who do not have a Will or other estate plan, the State of Colorado provides an estate plan through the laws of Intestate Succession, the only difference being that if you do not have your own estate plan the State mandates one for you.

Therefore, all persons including young individuals, middle age couples, and business owners, with estates of nearly any size should have an estate plan to save on taxes, preserve their hard earned assets, and to provide a personalized preference of their succession.

Our specific services encompass the full range of estate planning:

  • Will preparation from Simple Wills to more complex Wills with Bypass Testamentary Trusts
  • Powers of Attorney, including those for medical matters and those for financial matters
  • Living Wills
  • Trust creation including Revocable Living Trusts, Trusts for Minor’s, and Irrevocable Life Insurance Trusts
  • Planning for Estate and Gift Tax reduction
  • Planning for family members with disabilities
  • Representation in Guardianship and Conservatorship proceedings
  • Planning for asset preservation and succession of family businesses
  • When it comes time to probate and administer an Estate, we help Personal Representatives locate assets, pay debts, resolve fiduciary and estate tax matters, and distribute inheritances to beneficiaries in a timely manner.

Real Estate and Zoning. 

Whether it is a Buyer and Seller negotiating a sale; Developers discussing their subdivision plan before a Planning Commission or City Council; a Closing on a commercial or residential real estate transaction; or a City or County amending its Zoning Regulations or Comprehensive Plan– every participant comes in contact with the law.

Given the sheer complexity of the law, no matter what aspect of real estate, the services of an experienced attorney is often required.
In real estate matters we help clients obtain successful results in the following areas:

In real estate transactions we represent any of the parties at the Closing table including Buyers, Sellers, and Developers.

We negotiate Purchase and Sale Contracts, insure that merchantable title is transferred at Closing, and otherwise prepare and review all legal documents.

We participate in every phase of real estate transactions, including residential and commercial matters.

In Planning and Zoning Matters, our firm has represented all types of clients including individuals, Developers, and Municipalities alike before various types of Planning and Zoning Boards on rezoning/platting/public improvements matters.

In other areas, we represent clients in boundary disputes, condemnation actions, foreclosure actions, and all matters of Municipal Code Enforcement issues.

We also prepare Leases, Restrictive Covenants, Condominium Declarations, Rights of Way and Easements.

Litigation. 

With our clients we also strive to practice preventative law, however, there are times when Litigation is the only alternative to resolution. At such time it is important to retain an attorney experienced in the area of law, and in the Courtroom as well.

Over our years of experience we have litigated Civil matters in State Courts, at the County Court, District Court and Court of Appeals levels, and also at the Federal District Court and Federal Court of Appeals levels.

In the areas of our civil practice coverage, also comes experience in litigation in these areas. We have represented land owners in zoning disputes and in boundary disputes; business owners in corporate matters; employers and employees with employment issues; disputes over breaches of contract; and Trust, Estate and Probate disputes.

In each case we aim for an early and cost effective resolution. If the matter cannot be resolved, however, we bring the case to Trial, and if necessary, prosecute the necessary appeals. Our goal is always to resolve our clients disputes - while protecting their rights and interests.

Construction. 

We work with contractors, developers and sub-contractors to guide construction projects through the construction legal process. In addition to the preparation of construction contracts, our services include representation in Mediation and Arbitration in the case of disputes. Our representation also includes the handling of Mechanic’s Liens, and financial matters arising in the construction process.
